OGX ENERGIAS REFINERY VENTURE OUTLINE

OGX and its private consortium of companies will undertake the
development of four petroleum refineries, two marine terminals
with connecting pipelines, petrochemical complexes, biofuels
plants, an electric power plant and LNG regas facility. The
financial commitment by the OGX consortium will exceed
US$ 30 billion over a 10 to 15 year period and is expected to
transform Panama into a major international energy hub that
will eventually generate 7,000 direct and 21,000 indirect jobs.

The OGX Energias Refinery Venture in Colon, Panama will commence
with the development of a 110,000 bbls/day petroleum refinery that
will serve as the platform for the development of three separate
220,000 bbls/day refineries that will provide a refining capacity
of 660,000 bbls/day together with a planned 4th refinery having
a refining capacity of 350,000 bbls/day.

OGX is very fortunate to have Ambassador Juan Sosa and former Minister
Julio Sosa as an integral part of the OGX Energy Development Team.
Their professional accomplishments for the people of Panama are a matter of
public record.

The OGX/CELA Energy Park/Hub will be part of a Petroleum Free Trade Zone.
OGX also intends to use its project for the development of renewable and
alternative fuels.

Seton Hall University School of Law. Retired with over thirty years
with Foster Wheeler Corporation, most recently as President and CEO
of Foster Wheeler Power Systems, Inc. as well as various positions in
the corporate law department and commercial divisions. Experienced in
domestic and international large scale energy production, refinery
and process facilities in the areas of project development, finance,
operations and corporate management.

Romeo Cipriani, Registered professional engineer with over 30 years
experience, including experience at the Hovensa Refinery in St.
Croix, U.S. Virgin Islands. Has also operated his own construction
company and engineering company in the U.S. Virgin Islands.

Fred Hildebrandt, B.Sc. Chemical Engineering, University of Alberta.
Retired from Federation Chemicals Limited, a wholly owned
subsidiary of W.R. Grace & Company. Served as President and General
Manager of W..R. Grace's chemical complex in Trinidad, West Indies.
Experienced in management and operations of ammonia, hydrogen and
other complex chemical plants in Canada and Trinidad. Experience in
the design, construction, operation and management of several
hydrogen-based plants.

Robert Clark, BSME Texas A&M University; Licensed Professional Engineer;
COO - Strategic Development Group for OGX Energy; 28 years with
Texas Instruments managing a large business center that served global
markets specializing in infrared and other electro-optical products;
experience in the piping industry for chemical plants & oil refineries;

Executive MBA Program, Columbia University; 37 years with Texaco Inc.
responsibilities included Vice President, Natural Gas Plants and

Hygiene; additionally Mr. Salazar managed Refineria Panama S.A. (Texaco),
Colon, Republic of Panama; currently owns an energy consulting firm.
